By accessing or using NexusProof.ai ("Service," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

1. The Service

NexusProof.ai provides a tamper-proof receipt generation API for AI agents and applications. We create cryptographically signed, server-timestamped, GPS-tagged records of AI actions to enable trust and accountability in AI systems.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. API Keys and Accounts

You are responsible for keeping your API key confidential
You are responsible for all activity that occurs under your API key
You must notify us immediately if you suspect unauthorized use of your key
We may suspend or revoke API keys that violate these Terms without notice

4. Acceptable Use

You may use the Service to generate receipts for legitimate AI agent actions, verify receipt authenticity, and integrate our API into lawful applications.

You may NOT use the Service to:

Create fraudulent, misleading, or falsified records
Violate any applicable law or regulation
Infringe on the intellectual property rights of others
Attempt to circumvent our security systems or rate limits
Use the Service in a way that could harm NexusProof.ai or its users
Resell or sublicense the API without our written permission

5. Receipt Data and Ownership

You retain ownership of the data you submit to create receipts. By submitting data, you grant us a limited license to store, process, and serve that data for the purpose of providing the Service.

Receipts are immutable once created — we do not modify receipt content after creation. This is a core feature of the Service, not a limitation.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFAGENT.PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Important Notice Regarding Legal Use

NexusProof receipts are cryptographic records of AI actions and are not intended to serve as sole legal evidence in legal proceedings. While receipts provide strong evidence of authenticity and timing, consult a qualified attorney before relying on them in any legal context.

9. Indemnification

You agree to indemnify and hold harmless NexusProof.ai, its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your access to the Service at any time, for any reason, with or without notice. You may terminate your account by contacting us at hello@nexusproof.ai.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on our website. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
